GolfNow, Inc. Affiliate Agreement Terms and Conditions

This Agreement describes the terms and conditions for participation in the GolfNow Affiliate Program. The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We", "us", "our" and "GolfNow" refer to GolfNow, Inc. an Arizona Corporation. This Agreement shall not render you an employee, partner, agent of, or joint venturer with us for any purpose. You are and will remain independent in your relationship with us, in all respects.

AGREEMENT DURATION
This Agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination.

MODIFICATION
We may modify any of the terms and conditions of this Agreement at any time and at our sole discretion. These modifications may include, but will not be limited to, changes in the scope of available referral fees, fee schedules, payment procedures and general Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following any change to the terms and conditions of this Agreement, it will be considered as your acceptance of such change. You will be notified of a modification by the posting of a notice or modified Agreement on this site, or by such other means as reasonably determined by us.

COMMISSION FEES
You will receive $0.10 per qualified click received from GolfNow links on your website. Qualified clicks are those clicks that pass GolfNow’s fraud prevention measures, as determined by us in our sole discretion from time to time. Our fraud prevention measures may include, but are not limited to, the analysis of Conversion Rates, Click Origins, Page Depth, Time On Site, Cookie Acceptance, Usage Patterns and Repeat IP Address Visits. GolfNow, in our sole discretion, may adjust your monthly qualified click counts as a result of fraud prevention measures. Affiliate hereby agrees to any and all such adjustments and hereby accepts such adjustments with or without explanation.

You will receive $1.00 per round sold (a single tee time reservation may contain 1 to 4 rounds; the average is 2.3 rounds) as a commission from tee time reservations placed via GolfNow links on your Affiliate Site. In order for rounds sold to generate such commission to an Affiliate, the customer(s) must play their round(s) of golf. Affiliate commissions will only be paid on sales which are made through approved and qualified Affiliates.

Commission fees can only be earned between the acceptance of the Affiliate application and notice of termination. The minimum commission payment is $25. Payments will be processed by the 10th of each month by GolfNow and mailed to the address provided on your affiliate application and made payable to the name provided on your affiliate application. Any tee time cancellations will be adjusted in the following month’s commission fee payment. If the minimum payment amount is not reached, or no fee payment is due, no check will be issued. Notwithstanding the foregoing, if there is a dispute with respect to the payment of commission fees, GolfNow shall resolve such dispute in its sole discretion, acting reasonably.

RESERVATION PROCESSING
GolfNow will be solely responsible for processing every reservation placed by customers from links on the Affiliate site. Customers who purchase tee times through the GolfNow Affiliate Program are deemed customers of GolfNow. Prices and availability of our tee times may vary from time to time. GolfNow policies will always determine the price paid by the customer. We reserve the right to reject any reservation that does not comply with our rules, operating procedures and policies.

WEBSITE LINKS AND RESTRICTIONS
GolfNow reserves the right not to accept any site into the GolfNow Affiliate Program based on site content. Sites that do not qualify for the GolfNow Affiliate Program may include, but are not limited to, sites that:

• Promote sexually explicit materials;
• Promote violence and discord;
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
• Promote illegal or questionable activities;
• Violate intellectual property rights; or
• Promote any type of objectionable material, as we, in our sole discretion, may determine.

In addition, all inbound affiliate links to GolfNow must originate from the approved site only. Inbound links from other websites or sources, including direct links from search engines, will not be counted and may result in immediate dismissal from the GolfNow Affiliate Program.

SPAM (UCE)
GolfNow does not participate in unsolicited e-mailing (i.e. spamming). All Affiliates are expected to adhere to a strict anti-spamming policy.as well. Violation of this policy will result in the termination of this Agreement and immediate dismissal from the GolfNow Affiliate Program.

DISCLAIMER
We make no express or implied warranties or representations with respect to the GolfNow Affiliate Program or your potential to earn income therefrom. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time.

INDEMNITY
You hereby agree to fully indemnify and hold harmless GolfNow, Inc. and its respective officers, directors, employees and agents, from and against any and all actions, causes of action, suits, duties, debts, claims, demands, interest, penalties, liability, damages, costs and expenses (including, without limitation, legal fees) which may at any time hereafter be suffered or incurred by GolfNow, Inc. as a result of any person making or bringing any claim or proceeding against GolfNow, Inc. arising out of or based upon any unauthorized use, by you, of the GolfNow Affiliate Program.

GENERAL
This Agreement will be governed by the laws of the United States and the District of Oregon, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Portland Oregon, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision.

By submitting the Affiliate Application form, you acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated the GolfNow Affiliate Program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement.
